Draft
This text is a draft and will take effect after legal review. Bracketed fields (e.g. [Company Legal Name]) will be completed before publication.
1. Parties and scope
These Terms of Service govern the relationship between [Company Legal Name] ("Sociaqivo", "we") — provider of the AI-powered social media management service offered at sociaqivo.com (the "Service") — and the individual or legal entity that registers for the Service ("User", "you").
By creating an account or using the Service you confirm that you have read and accept these terms, the Privacy Policy and the KVKK Notice. The Distance Sales Agreement additionally applies to paid plans.
2. Account and security
You must be at least 18 years old and provide accurate information to create an account. You are responsible for keeping your credentials confidential and for all activity under your account; we recommend enabling two-factor authentication (2FA).
If you notice unauthorized use of your account, notify us immediately at [support email address].
3. Projects, teams and permissions
The Service is project-based: each brand or product is a separate project with its own social accounts, team, plan and credits. The user who creates a project is its owner; ownership can only be transferred through Sociaqivo administration.
The owner invites team members with roles and sets their permissions. The owner is also responsible for actions members take within the project.
4. Connecting social media accounts
You connect accounts on platforms such as Instagram, Facebook, Threads, Pinterest, TikTok, YouTube and LinkedIn through each platform's official authorization (OAuth) flow. You confirm that you are authorized to publish content on the accounts you connect.
Each platform's own terms and policies also apply. Sociaqivo is not liable for disruptions caused by platform API changes, access restrictions or account suspensions.
5. Content and AI (Qivo)
You own the content (text, images, video) you upload or create with Qivo. You grant us permission to use that content solely to provide the Service (storing, processing and delivering it to platforms).
AI output may be inaccurate, incomplete or conflict with third-party rights. You are responsible for reviewing and approving content before it is published; Qivo suggestions do not replace your publishing decision.
Creating or publishing unlawful, misleading or hateful content, content that infringes others' intellectual property or personality rights, or content that violates platform rules is prohibited.
6. Plans, credits and payments
Subscriptions are per project. The standard term is annual; promotional and custom plans may have other durations. Prices are shown in Turkish lira (TRY) or US dollars (USD), and the currency is fixed at the start of the subscription.
AI operations consume credits. Included credits and add-on credit packs follow the rules shown at purchase (e.g. monthly refills or expiring credits); credits cannot be exchanged for cash.
You can upgrade during a term (paying the difference for the remaining period); downgrades are not available.
7. End of subscription and read-only period
If a subscription ends without renewal, the project becomes read-only: content stays visible, but publishing, AI generation and new content stop, and scheduled posts are paused.
The read-only period lasts 90 days. Projects not renewed within that time are deleted together with their content, media and connected account access tokens. Invoices are retained for the statutory period.
8. Prohibited use
The following are prohibited and may lead to suspension:
- Using the Service for spam, fake engagement or automated bulk messaging
- Connecting accounts that belong to someone else without authorization
- Attempting to bypass security, reverse-engineer or overload the Service
- Publishing content that violates applicable law or platform policies
9. Availability and limitation of liability
We make reasonable efforts to keep the Service available, but maintenance, third-party infrastructure or platform issues may cause interruptions. To the extent permitted by law, we are not liable for indirect damages, lost profits or data loss, and our total liability is limited to the fees paid for the relevant project in the previous 12 months.
10. Closing your account
You can delete your account at any time under Profile > Security; if you own active projects you must archive or transfer them first. We may suspend or close accounts for serious breaches of these terms.
11. Changes, governing law and contact
We may update these terms and will announce material changes by email or in-app notification. Turkish law applies; the courts and enforcement offices of [City] have jurisdiction, without prejudice to consumer arbitration committees and consumer courts for consumer transactions.
